1. Definitions
- “Service” — the Carcommerce Virtual Showroom SaaS platform,
including the web application at
vs.carcommerce.gr, the mobile app Carcommerce VS, and any associated APIs. - “Tenant” — the legal entity (typically an automotive dealership) that subscribes to the Service.
- “User” — an individual authorised by a Tenant to use the Service under credentials issued by that Tenant.
- “Content” — any data submitted to the Service by a User or Tenant, including vehicle photographs and metadata.
- “Subscription Agreement” — the master commercial agreement between SOFTLY IKE and a Tenant that sets the commercial terms (pricing, term, SLA). The Subscription Agreement prevails over these Terms in case of conflict.
2. Account & eligibility
- The Service is a professional, business-to-business tool. You must be at least 18 years old and authorised by your Tenant to use it.
- User accounts are issued and managed by the Tenant administrator. You may not share credentials, sell access, or use the Service on behalf of any party other than your Tenant.
- You are responsible for keeping your credentials confidential and for all activity under your account. Notify us promptly at [email protected] if you suspect any unauthorised access.
3. Acceptable use
When using the Service you agree not to:
- Upload Content you do not have the right to use, including photos containing identifiable individuals whose consent you have not obtained when required by law.
- Use the Service to publish material that is unlawful, defamatory, discriminatory, infringing, obscene, or otherwise harmful.
- Attempt to reverse-engineer, decompile, or extract the source code of the Service, except as permitted by mandatory applicable law.
- Probe, scan, or test the vulnerability of the Service except with our prior written consent.
- Interfere with the integrity of the Service, including by introducing malware, flooding requests, or attempting to circumvent rate limits or access controls.
- Use the Service to train third-party machine-learning models, or to provide a competing service.
We may suspend or terminate your access if we reasonably believe you have violated this section, with notice where practicable.
4. Your Content & intellectual property
You retain ownership of any Content you submit to the Service. By submitting Content, you grant SOFTLY IKE a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and create technically necessary derivative works (such as resized images, AI-processed versions, and 360° playback assets) solely for the purpose of providing and improving the Service. We do not claim ownership of your Content and we do not use it for purposes outside the Service.
All other intellectual property in the Service — including the software, design, trademarks, and documentation — belongs to SOFTLY IKE or its licensors. No rights are granted by implication.
5. AI processing of vehicle photos
The Service uses AI models to perform image processing such as background replacement, license-plate masking, and 360° playback generation. Outputs are produced automatically; SOFTLY IKE does not guarantee a specific aesthetic, accuracy, or suitability for any particular purpose. You remain responsible for reviewing AI-processed Content before publishing it.
6. Privacy
Our handling of personal data is described in our Privacy Policy, which is incorporated by reference into these Terms. Where SOFTLY IKE processes personal data on behalf of a Tenant (for example, photos uploaded by the Tenant's employees), SOFTLY acts as a processor and the Tenant is the controller; a separate Data Processing Agreement (Article 28 GDPR) applies and is incorporated into the Subscription Agreement.
7. Availability & changes to the Service
- We aim for high availability but the Service is provided on a best-effort basis unless otherwise specified in the Subscription Agreement. We may schedule maintenance and will give reasonable notice for planned interruptions.
- We may add, change, or remove features from time to time. We will not materially reduce the core functionality of the Service during a paid subscription term without notice and a reasonable opportunity to terminate.
8. Fees, payment, and term
Commercial terms (pricing, payment, renewal, and termination) are governed by the Subscription Agreement between SOFTLY IKE and your Tenant. As an individual User, you do not owe any fees directly to SOFTLY IKE.
9. Termination
- You may stop using the Service at any time. You may request deletion of your account from within the mobile app (Settings → Account → Delete account), which triggers our 30-day deletion process described in the Privacy Policy.
- We may suspend or terminate access in case of material breach, with notice where practicable, including immediate suspension when necessary to protect the Service or other users.
- Termination does not relieve any party of obligations that, by their nature, survive (e.g. confidentiality, payment of fees accrued, intellectual property).
10. Warranty disclaimer
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranty of any kind, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, beyond commitments stated in the Subscription Agreement.
11. Limitation of liability
To the maximum extent permitted by law, SOFTLY IKE will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or in connection with the Service. Where liability cannot be excluded, our aggregate liability is capped at the amounts payable by the Tenant under the Subscription Agreement during the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability for gross negligence, wilful misconduct, or any other liability that cannot lawfully be excluded.
12. Indemnification
You agree to indemnify and hold harmless SOFTLY IKE from any third-party claim arising from (i) your unlawful Content or use of the Service in breach of these Terms, or (ii) infringement by your Content of any third-party intellectual property or privacy right.
13. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent version. Material changes will be communicated to active Tenants and Users through the Service before they take effect. Continued use of the Service after the effective date of changes constitutes acceptance.
14. Governing law and jurisdiction
These Terms are governed by the laws of Greece, without regard to its conflict-of-laws principles. The courts of Athens, Greece have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, without prejudice to mandatory rights you may have under your local law.
